Terms and Conditions

Before we can send you the content requested or confirm your registration for an event, you need to agree to a few things.

Privacy Policy

You have requested access to Centric Software Inc., and its affiliates’ (“Centric Software”, “we” or “us”) materials, events and/or digital content which are restricted. In order to access and/or attend you agree to the following Terms and Conditions in addition to our privacy policy.

No Competitors

The requested materials, events and/or email subscriptions are intended only for current and potential customers, partners or other friends of Centric Software which you hereby represent that you are. Competitors, including their employees and independent contractors, are strictly prohibited from attending such events and/or accessing materials.

Event Attendance

If you are signing up for an event, we are holding a spot for you. Please try to make it. If unfortunately something else comes up and you can’t attend, you will try extra hard to let us know by contacting marketing@centricsoftware.com.

You are not permitted to make audio/visual recordings, photographs of any event (online or in-person), any of our materials whether presented at the event or separately downloaded without our prior written permission. Photographic or video equipment for use at the event is prohibited (sorry paparazzi!).

Confidentiality

You may not post screen shots, photos, or distribute any copies of materials provided to you by Centric Software. You agree that any information, including technical or pricing information, you receive about Centric Software’s products or services shall be considered “Confidential”. You may only discuss such Confidential information internally within your organization for the sole purpose of considering the purchase of such products or services from Centric Software.

You shall protect any Confidential information in the same manner you use to protect your own confidential information; with no less than a reasonable amount of care to protect the secrecy and avoid disclosure and unauthorized use of the Confidential information.

Opt in

You hereby consent to receive emails from us for the information you requested or details about event, and/or email subscription you are registering for. As sad as we would be, you can change your mind and opt-out at any time and our emails provide a link for doing so. You can also contact marketing@centricsoftware.com to unsubscribe.

Liability Waiver

You agree that you, and not Centric Software or the event organizers, vendors and property owners, are responsible for your conduct, injuries and property. Specifically, you agree, on your own behalf and on behalf of your heirs, estate, successors and assigns, to indemnify, hold harmless and release from liability Centric Software and any/all related event organizers, including but not limited to all landowners, producers, sponsors, co-sponsors, advertisers, organizers, material suppliers, vendors, concessionaires, volunteers and/or contractors of any of the event in which you may participate and/or attend, and all employees, principals, directors, shareholders, agents, members, managers, affiliates, representatives, attorneys and insurers of each of the foregoing (collectively, the “Released Parties”) against, any lawsuits, demands, claims, or expenses (including attorneys’ fees and legal costs), arising from or in any manner related to attending the event; and to the fullest extent permitted by law, you fully and forever waive, release, discharge and covenant not to sue the Released Parties for and from any and all demands, claims, actions, suits, damages, losses, liabilities, costs and expenses arising, directly or indirectly, related to, in connection with or relating to participation or attendance at the event from any cause whatsoever (including, but not limited to, damage to or loss of property (for instance to your choosing to park any vehicle you own or control in any areas owned or controlled by Released Parties), bodily injuries, medical treatment and death), whether or not foreseeable or contributed to by the negligent acts or omissions of the Released Parties. You acknowledge that the RELEASED PARTIES MAKE NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, REGARDING THE EVENT. You agree that the Released Parties will not, under any circumstance, be liable for consequential, indirect, general, special or similar damages. You also release all claims from participation in or attendance at the event even if unknown to you at the time of agreeing to this waiver and release, including waiving the provisions of California Civil Code Section 1542 (or any similar law or provision on unknown claims).

Legally Binding

These Terms and Conditions are a legally binding agreement and will be construed broadly to provide a release and waiver to the maximum extent permissible under applicable law. Any provisions found to be void or unenforceable shall be severed from these Terms and Conditions, and not affect the validity or enforceability of any other provisions. You have read Terms and Conditions and fully understand its content, including the Liability Waiver section.

Event Rules & Cancellation

If any event is canceled for any reason due to circumstances beyond the Released Parties’ reasonable control, the Released Parties shall have no obligation to reschedule or refund any costs and/or expenses you incurred in connection with the event. There are no third-party beneficiaries from the event or these Terms and Conditions. You agree to follow directions and signs at the event. You understand that your invitation is non-transferable. Centric Software has the right to reject your entry or attendance at any time and for any reason at its complete discretion.

Governing Law

The State of California shall serve as the governing law and San Mateo County shall serve as the venue jurisdiction for any dispute or claim about these Terms and Conditions.
